Terms of Service

These terms govern your use of the ORBID platform. They apply to every user; the role-specific sections explain the additional obligations that come with posting tenders, submitting offers, or both.

These Terms of Service ("Terms") form a binding contract between you ("you", "User") and ORBID OÜ, a private limited company registered in Estonia under registry code 17120234, with its seat at Tuukri tn 19-202, 10120 Tallinn ("ORBID", "we"). By creating an account and using the ORBID platform (the "Platform"), you accept these Terms.

PART A — GENERAL TERMS (apply to every user)

1. Scope and acceptance
1.1 These Terms apply to every interaction with the Platform.
1.2 You confirm that you are authorised to bind the legal entity on whose behalf you create the account, and that the entity is engaged in commercial activity. The Platform is for B2B use only.
1.3 By clicking "I accept" you provide an electronic declaration that, under Article 25 of Regulation (EU) No 910/2014 (eIDAS), is equivalent to a signature under Estonian law.

2. ORBID's role
2.1 ORBID operates as a neutral marketplace intermediary connecting Tender Owners (Developers, EPCs posting their own scope) with Service Providers (engineering, installation, O&M companies and EPCs in their bidding capacity).
2.2 Any contract that results from your use of the Platform is concluded directly between the Tender Owner and the winning contractor. ORBID is not a party to that contract.
2.3 ORBID provides verification of contractor companies as a screening service. Verification is a procedural check, not a guarantee of contractor performance, solvency or compliance.

3. Your account
3.1 You will keep your account credentials confidential and notify ORBID promptly of any unauthorised access.
3.2 You will keep your company profile (legal name, registration, VAT, capacity, references, licenses, insurances) current and accurate. Inaccurate data may result in suspension or removal.
3.3 You will not register more than one account per legal entity unless invited as an additional member by an existing account.

4. Acceptable use
4.1 You will not use the Platform to upload, transmit or share content that infringes third-party rights, violates applicable law, is misleading, or compromises platform integrity.
4.2 You will not attempt to circumvent access controls, identity anonymity rules, or platform fees.
4.3 Off-topic, abusive or commercial-solicitation messages may be hidden by ORBID administrators with a reason notified to you (notice-and-action mechanism under the EU Digital Services Act).

5. Fees
5.1 Platform fees, where applicable, are stipulated in the ORBID Platform Agreement (for Service Providers) and/or in the fee schedule current at the time of use.
5.2 Invoices follow Estonian VAT rules. For EU B2B counterparties outside Estonia, the reverse-charge mechanism under Article 196 of Council Directive 2006/112/EC applies; you account for VAT in your own jurisdiction.

6. Liability
6.1 To the maximum extent permitted by Estonian law, ORBID's aggregate liability for any claim arising out of or related to your use of the Platform is limited to the fees you have actually paid to ORBID in the twelve (12) months preceding the event giving rise to the claim.
6.2 ORBID is not liable for indirect, consequential, special or punitive damages, lost profit or lost opportunity.
6.3 Nothing in these Terms limits liability for wilful misconduct, gross negligence, personal injury or any liability that cannot be limited under mandatory law.

7. Intellectual property
7.1 You retain all rights in the documents and content you upload.
7.2 You grant ORBID a non-exclusive, worldwide, royalty-free license to host, transmit, display and process that content as necessary to operate the Platform — including making it available to the counterparties you choose to engage with (tender owners revealing scope to granted contractors, contractors submitting offers to tender owners, etc.).
7.3 You confirm you have all rights necessary to grant this licence.

8. Data protection
8.1 ORBID processes personal data as described in the ORBID Privacy Policy. Where ORBID acts as processor on your behalf (for example, when you upload company documents that contain employee names), the Data Processing Addendum integral to the Privacy Policy applies.
8.2 You confirm you have the right to share any personal data you upload, and that you have informed the relevant data subjects.

9. Termination
9.1 Either party may terminate at any time. You may close your account from /settings.
9.2 ORBID may suspend or terminate access in case of breach (false data, AML concerns, abusive conduct). Reasons are communicated where lawful.
9.3 Upon termination, ORBID retains your historical records (tenders, offers, audit log, ToS acceptances) for as long as required to comply with Estonian commercial-law book-keeping obligations (currently seven years).

10. Governing law and jurisdiction
10.1 These Terms are governed by the substantive laws of the Republic of Estonia, without regard to its conflict-of-laws rules.
10.2 Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of Tallinn, Estonia.

11. Changes
11.1 ORBID may amend these Terms by publishing a new version. Material changes prompt a re-acceptance flow on next login.

PART B — IF YOU POST TENDERS (Developers and EPCs)
────────────────────────────────────────

12. Tender posting
12.1 You will post only tenders you genuinely intend to award, with accurate and complete information about scope, location, schedule, requirements and selection criteria.
12.2 You will not post personal data of natural persons beyond what is strictly necessary to describe the tender. Where personal data must be shared, you will rely on a lawful basis under Articles 6 and (where applicable) 9 of Regulation (EU) 2016/679 (GDPR).
12.3 You will keep all documents and Q&A exchanges confidential between yourself, the granted contractors, and ORBID staff acting in their administrative capacity. Questions you publicly answer are republished on the Platform with the asker's identity hidden.

13. Tender lifecycle
13.1 A tender is editable while in draft, while awaiting ORBID review, and once live — up until the first offer is submitted. After the first offer, edits are locked so contractors aren't bidding on a moving target.
13.2 You may pause a tender at any time. Pausing hides the tender from new public visitors but preserves access for contractors you have already granted.
13.3 You may delete (archive) a tender at any time. Deleting is a soft operation: the tender record is preserved by ORBID for record-keeping and audit, but no further offers, questions or interests are accepted. All granted contractors and ORBID administrators are notified, including the reason you provide.

14. Award and party-to-party contract
14.1 Selecting a winning offer reveals your legal identity to the winning contractor and reveals theirs to you.
14.2 The contract between you and the winning contractor must be concluded outside of the Platform. ORBID provides the contract upload + dual-signature workflow as a courtesy and does not warrant the legal effectiveness of any document signed using it.

PART C — IF YOU SUBMIT OFFERS (Service Providers and EPCs)

15. Bidding
15.1 You will submit only offers that you genuinely intend to perform, and you will perform them in compliance with the tender requirements and applicable law.
15.2 You will keep documents and information shared with you under the granted-access mechanism strictly confidential, and you will not redistribute or repurpose tender content beyond the offer you are preparing.

16. Anonymity
16.1 Until the tender owner selects you as the winning offer, your company's identity is not disclosed to the tender owner. You are still bound by these Terms and by the Platform Agreement.

17. Platform Agreement
17.1 You will sign the ORBID Platform Agreement before expressing interest on any tender. The Platform Agreement governs platform fees and ORBID's role in matchmaking.

PART D — IF YOU ARE BOTH (EPCs)
────────────────────────────────────────

18. EPC dual role
18.1 EPCs operate in both capacities: posting their own tenders for subcontracted scope (Part B) and bidding on others' tenders (Part C). All sections above apply, switching automatically with the relevant action.
18.2 Information barriers between your bidding team and your tender-posting team are your responsibility; ORBID's anonymity model does not extend inside your own organisation.
